1. Agreement to Terms
By accessing or using UCPHub (“the Service”) at ucphub.ai, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
UCPHub provides a platform that implements the Universal Commerce Protocol (UCP), enabling ecommerce stores to become AI-readable and discoverable by AI shopping agents. The Service includes, but is not limited to:
- WooCommerce plugin integration
- Product data normalization to UCP format
- Distribution to AI shopping agent channels
- Analytics and reporting dashboards
- API access and developer tools
3. Accounts & Registration
3.1 Account Creation. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to update it as necessary.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at office@ucphub.ai if you suspect unauthorized use.
3.3 Eligibility. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.
4. Subscription Plans & Payment
4.1 Plans. UCPHub offers free and paid subscription tiers. Details of each plan, including features and pricing, are available at ucphub.ai/pricing.
4.2 Billing. Paid plans are billed on a recurring basis (monthly or annually) as selected at checkout. You authorize UCPHub to charge your payment method on each billing cycle.
4.3 Refunds. We offer a 14-day money-back guarantee on paid plans. Refund requests after this period are evaluated on a case-by-case basis. Contact contact@ucphub.ai to request a refund.
4.4 Price Changes. UCPHub reserves the right to modify pricing with 30 days’ written notice to existing subscribers. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
4.5 Taxes. You are responsible for any applicable taxes, duties, or levies associated with your subscription.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit malicious code, viruses, or harmful data
- Attempt to gain unauthorized access to UCPHub’s systems or other users’ accounts
- Scrape, crawl, or use automated means to access the Service beyond what is permitted by the API
- Engage in any activity that disrupts or degrades the performance of the Service
- Misrepresent your identity or affiliation
6. Your Data & Content
6.1 Ownership. You retain all rights to the store data, product information, and content you connect to UCPHub (“Your Data”). UCPHub does not claim ownership of Your Data.
6.2 License to UCPHub. By connecting your store, you grant UCPHub a limited, non-exclusive, worldwide license to access, process, and distribute Your Data solely for the purpose of providing the Service, including transmitting normalized UCP-formatted data to AI shopping agents and partner channels.
6.3 Data Accuracy. You are solely responsible for the accuracy, legality, and appropriateness of Your Data. UCPHub is not liable for errors, inaccuracies, or omissions in product listings, pricing, or availability.
6.4 Data Removal. Upon account termination, UCPHub will delete or anonymize Your Data within 30 days, except where retention is required by law.
7. Intellectual Property
7.1 UCPHub IP. The Service, including its software, algorithms, UI/UX design, documentation, and branding, is owned by UCPHub and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without express written consent.
7.2 Feedback. If you submit suggestions, ideas, or feedback about the Service, you grant UCPHub a royalty-free, perpetual license to use such feedback without obligation or compensation to you.
8. Third-Party Services & Integrations
The Service integrates with third-party platforms including WooCommerce, Shopify, Stripe, and others. Your use of these third-party services is governed by their respective terms and privacy policies. UCPHub is not responsible for the conduct, availability, or policies of any third-party service.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.
10. Disclaimers
10.1 “As Is” Service. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.2 No Guarantee of Results. UCPHub does not guarantee that your store will be indexed, ranked, or selected by any particular AI shopping agent or that use of the Service will result in increased sales or revenue.
10.3 Uptime. While UCPHub targets high availability, we do not guarantee uninterrupted or error-free operation of the Service.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UCPHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
UCPHub’s total aggregate liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid UCPHub in the twelve (12) months preceding the claim, or (b) $100 USD.
12. Indemnification
You agree to indemnify, defend, and hold harmless UCPHub, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Data; (c) your violation of these Terms; or (d) your violation of any third party’s rights.
13. Term & Termination
13.1 Term. These Terms remain in effect while you use the Service.
13.2 Termination by You. You may cancel your account at any time through your account settings or by contacting office@ucphub.ai.
13.3 Termination by UCPHub. We reserve the right to suspend or terminate your account at any time for violation of these Terms, non-payment, or at our discretion, with or without notice.
13.4 Effect of Termination. Upon termination, your right to use the Service immediately ceases. Sections 6.4, 7, 10, 11, 12, and 15 survive termination.
14. Modifications to Terms
UCPHub reserves the right to update these Terms at any time. We will notify you of material changes via email or a notice within the platform at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
15. Governing Law & Dispute Resolution
15.1 Governing Law. These Terms are governed by the laws of Delaware, USA, without regard to its conflict of law principles.
15.2 Disputes. Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of US Law, conducted in Delaware, USA.
15.3 Class Action Waiver. You agree that any dispute resolution will be conducted on an individual basis and not as part of a class action or representative proceeding.
16. General Provisions
16.1 Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and UCPHub regarding the Service.
16.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.3 Waiver. Failure to enforce any provision of these Terms does not constitute a waiver of UCPHub’s right to enforce it in the future.
16.4 Assignment. You may not assign your rights under these Terms without UCPHub’s prior written consent. UCPHub may assign its rights freely.

18. Disclaimer of Responsibility for SEO, AEO, and AI-Generated Product Displays
By using the Service and registering an account with UCPHub, you expressly acknowledge and agree that UCPHub is a data normalization and distribution platform only, and that UCPHub has no control over, and assumes absolutely no responsibility or liability for, any of the following:
18.1 Search Engine Optimization (SEO). UCPHub makes no representations, warranties, or guarantees that use of the Service will improve, maintain, or in any way affect your store’s rankings, visibility, or performance in any search engine, including but not limited to Google, Bing, Yahoo, or any other search index, whether directly or indirectly. UCPHub is not an SEO service provider, and nothing in the Service should be construed as such.
18.2 Answer Engine Optimization (AEO) and AI Discoverability. UCPHub provides the technical infrastructure to make your product data available in a format compatible with AI shopping agents and answer engines. However, UCPHub makes no guarantees, express or implied, that your products will be indexed, retrieved, recommended, prioritized, or surfaced by any AI shopping agent, large language model, answer engine, conversational assistant, or AI-powered platform, including but not limited to ChatGPT, Google Gemini, Microsoft Copilot, Perplexity, or any other current or future AI system. The decision to retrieve, display, or recommend your products rests entirely with the operators of those third-party AI systems, over which UCPHub has no control, influence, or affiliation.
18.3 AI-Generated Product Presentation. UCPHub transmits normalized product data on your behalf but has no control over how, whether, when, or in what format any AI system chooses to present, describe, summarize, alter, or omit your product information. AI systems may independently modify, truncate, reinterpret, or disregard your product data entirely. UCPHub is not responsible for any inaccuracies, misrepresentations, omissions, or unfavorable presentations of your products that result from the processing, filtering, or output of any third-party AI system.
18.4 Business Outcomes. UCPHub makes no guarantee that integration with the Universal Commerce Protocol or use of any feature of the Service will result in increased traffic, conversions, revenue, customer acquisition, competitive advantage, or any other measurable business outcome. Results, if any, will vary based on factors entirely outside UCPHub’s control, including the algorithms, policies, and discretion of third-party AI platforms.
18.5 Third-Party Algorithm Changes. AI platforms, search engines, and answer engines frequently update their algorithms, data ingestion policies, and ranking criteria without notice. UCPHub is not liable for any negative impact on your visibility, discoverability, or sales resulting from such changes, regardless of whether those changes occur before or after your integration with the Service.
18.6 Your Acknowledgment. By registering an account and using the Service, you confirm that you have read, understood, and accepted the limitations described in this Section 18 in their entirety. You agree that no oral or written communication from UCPHub, its employees, agents, or representatives shall create any warranty, representation, or guarantee that contradicts the disclaimers set forth in this Section. This disclaimer survives termination of your account and these Terms.
